Experience
Vivian is a lawyer with experience in both corporate and commercial law and dispute resolution.
As a corporate and commercial associate, she routinely handles company incorporation, restructuring, liquidation, and compliance matters for businesses of varied scales, ranging from multinational corporations, and international companies to SMEs.
She has experience in advising domestic and cross-border corporate and commercial transactions within the United Arab Emirates (UAE) free zones and for offshore companies registered in the UAE. She is well-versed in drafting, reviewing, and negotiating a vast array of commercial arrangements, including Manufacturing and Supply Agreement, Agency and Distribution Agreement, Trade Secret Licensing Agreement, Shareholders’ Agreement, Nominee Shareholder’s Agreement and Non-Disclosure Agreements.
Prior to joining the Corporate and Commercial practice group, Vivian advised companies and financial institutions as well as global commodity traders/suppliers in high-value cross-border disputes arising out of defaulted syndicated facility, goods sold and delivered, breach of sale/carriage contracts and more, some of which led to ship arrests within the UAE waters and subsequent judicial ship sales.
She has also previously advised on the enforcement of foreign judgments and arbitral awards through the onshore process, including under the mutual recognition regime between the Dubai Courts and the Dubai International Financial Centre (DIFC) Courts.
Vivian co-authored the UAE Chapter for Chambers and Partners’ Global Practice Guide on Litigation as well as the Enforcement of Judgments, Law and Practice for 4 and 2 consecutive years respectively.
